BY PURCHASING PRODUCTS FROM SOUTHERN ROOTS SUPPLIES, LLC, YOU AGREE TO THESE TERMS. IF YOU DO NOT AGREE, DO NOT PLACE AN ORDER.
1. Who We Are
Southern Roots Supplies, LLC is a RESELLER of agricultural equipment and supplies. We do not manufacture products. All products are designed, manufactured, and warranted by independent third-party manufacturers. We market and sell these products through our website at southernrootssupplies.com.
2. Product Information and Descriptions
We provide product descriptions, photos, specifications, and other information based on details provided by manufacturers. While we strive for accuracy:
• Product descriptions, dimensions, weights, and specifications are approximate and may vary
• Photos are for illustration purposes and actual products may differ in appearance
• Colors may appear different due to screen settings and lighting
• Products are handmade and minor variations in fabrication are normal
YOU ACKNOWLEDGE THAT YOU ARE PURCHASING CUSTOM-FABRICATED AGRICULTURAL EQUIPMENT AND ACCEPT NORMAL VARIATIONS IN HANDMADE PRODUCTS.
3. Pricing
All prices are in U.S. dollars and subject to change without notice. Prices do not include delivery or freight charges unless specifically stated. Delivery costs are calculated separately and will be quoted after purchase or at checkout depending on delivery method selected. Payment terms, including any deposit requirements and balance due, are as displayed at checkout. Applicable sales tax will be calculated and added at checkout based on your delivery location and applicable state and local tax laws.
4. Orders and Payment
When you place an order, you are making an offer to purchase. We reserve the right to accept or decline any order for any reason. Payment is due at time of order. By providing payment information, you represent that you are authorized to use the payment method and authorize us to charge the full amount.
ORDERS ARE FINAL ONCE MANUFACTURING BEGINS. Products are custom-made to order and cannot be cancelled once production starts.
5. Manufacturing and Delivery Timeline
Products are manufactured after order placement. Manufacturing typically takes 1-2 weeks but may vary based on current workload and product complexity. We will notify you when your product is ready for delivery or pickup.
DELIVERY TIMELINES ARE ESTIMATES ONLY. We are not liable for delays in manufacturing or delivery. Manufacturing and freight delays may occur due to factors beyond our control.
6. Delivery and Shipping
Delivery options and costs vary by product and location:
• Customer Pickup: Available at no additional charge at manufacturer facility in Piedmont, Alabama
• Direct Delivery: Available within a 4-hour driving radius of Piedmont, Alabama. Delivery fee is quoted per order and is your responsibility. Delivery is subject to manufacturer availability.
• Freight Delivery: Arranged and quoted separately for locations outside the delivery zone. Freight costs are your responsibility.
RISK OF LOSS AND TITLE PASS TO YOU WHEN: (a) freight carrier takes possession of product at manufacturer facility, (b) you take possession of product at manufacturer facility, or (c) the manufacturer’s delivery driver arrives at your delivery address for direct delivery.
6.5 Customer Delivery Responsibilities
Customer is solely responsible for the following:
(a) Safe Unloading. Customer must arrange for proper equipment and personnel to safely unload Products from the delivery vehicle. Products may be heavy and require appropriate lifting equipment such as a tractor with forks, forklift, or crane. Southern Roots Supplies offers fork extensions and recommends purchasing these for larger items such as hay feeders and cattle guards. Customer is liable for any damage to Products occurring during unloading. If Customer separately arranges and pays a freight carrier for unloading services, that carrier assumes responsibility for unloading damage. Southern Roots Supplies is not responsible for any damage occurring during the unloading process.
(b) Clear Delivery Path. For tall or oversized Products (such as hay feeders and cattle guards), Customer must ensure a clear path from the point where the delivery vehicle drops off the Product to its final placement location on Customer’s property. Customer must inspect that path for overhead obstacles including tree limbs, power lines, building eaves, and other structures BEFORE delivery. Customer is responsible for trimming branches, planning the path from dropoff point to final placement, and ensuring adequate clearance for the Product’s height plus any transport or unloading equipment height. Customer is liable for any damage to Products caused by contact with overhead obstacles during movement from the dropoff point to the final placement location.
(c) Delivery Site Preparation. Customer must ensure the delivery site has adequate access for delivery vehicles, firm ground conditions suitable for unloading equipment, and proper drainage or foundation for Product placement if applicable.
(d) Inspection Upon Delivery. Customer must inspect Products immediately upon delivery and prior to signing the Delivery Receipt. By signing the Delivery Receipt, Customer confirms the Product was received in satisfactory condition, matches the order, and that Customer has no claims regarding visible damage, missing components, or product discrepancy at the time of delivery. Visible damage must be noted on the Delivery Receipt before signing. Manufacturing defects not visible at the time of delivery are covered under the manufacturer’s 30-day warranty and must be reported to Southern Roots Supplies within that 30-day period. These are two separate processes: delivery condition is confirmed at signing; warranty claims for hidden manufacturing defects are handled separately through the warranty claim process.
(e) Assumption of Risk. Customer acknowledges and assumes all risk of loss or damage to Products after delivery, including but not limited to damage from unloading, moving, placement, installation, overhead obstacles, weather, animals, or other causes beyond Southern Roots Supplies’ control.
7. Product Warranties
SOUTHERN ROOTS SUPPLIES MAKES NO WARRANTIES OF ANY KIND REGARDING PRODUCTS.
All products are warranted ONLY by the manufacturer. See our separate Warranty page for manufacturer warranty terms. All warranty claims must be submitted through Southern Roots Supplies customer service, and the manufacturer makes the final determination on warranty coverage.
WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
8. Returns and Refunds
Due to the custom nature of our products, WE DO NOT ACCEPT RETURNS OR OFFER REFUNDS except:
• Product is defective (covered under manufacturer warranty)
• We shipped the wrong product
• Product was damaged during shipping (damage must be documented on the delivery receipt or bill of lading and reported to Southern Roots Supplies within 48 hours of delivery)
YOU CANNOT RETURN PRODUCTS BECAUSE YOU CHANGED YOUR MIND, ORDERED THE WRONG SIZE, OR ARE DISSATISFIED WITH NORMAL VARIATIONS IN HANDMADE PRODUCTS.
9. Use and Installation
Products are designed for agricultural use only. YOU ARE SOLELY RESPONSIBLE FOR:
• Proper installation consistent with standard agricultural equipment practices
• Ensuring products are suitable for your specific application
• Safe operation and maintenance
• Compliance with local building codes and regulations
• Any permits or approvals required for installation or use
WE ARE NOT RESPONSIBLE FOR IMPROPER INSTALLATION, MISUSE, OR USE BEYOND PRODUCT SPECIFICATIONS.
10. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW: SOUTHERN ROOTS SUPPLIES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, LOSS OF USE, LOSS OF DATA, INJURY TO PERSONS, INJURY TO LIVESTOCK, PROPERTY DAMAGE, OR ANY OTHER LOSSES, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL LIABILITY FOR ANY CLAIM ARISING FROM YOUR PURCHASE SHALL NOT EXCEED THE AMOUNT YOU PAID FOR THE PRODUCT.
11. Assumption of Risk
BY PURCHASING PRODUCTS, YOU KNOWINGLY AND VOLUNTARILY ASSUME ALL RISKS ASSOCIATED WITH THE PURCHASE, DELIVERY, UNLOADING, INSTALLATION, AND USE OF AGRICULTURAL EQUIPMENT. You acknowledge that steel agricultural equipment involves inherent risks of injury and property damage, that products will rust and corrode over time when exposed to weather, and that products require regular inspection and maintenance to remain safe and functional. You accept full responsibility for ensuring products are suitable for your intended use, for proper installation and operation, and for all safety precautions. Southern Roots Supplies makes no representation that any product is appropriate for your specific application.
12. Indemnification
You agree to indemnify, defend, and hold harmless Southern Roots Supplies, LLC, its owners, employees, and agents from any claims, damages, losses, liabilities, and expenses (including attorney fees) arising from:
• Your use of products
• Your installation of products
• Your violation of these Terms of Service
• Injury to persons or damage to property caused by products after delivery to you
13. Payment Disputes and Chargebacks
BY PLACING AN ORDER, YOU AGREE THAT:
Payment is final once manufacturing begins. Products are custom-made to order and cannot be resold. Manufacturing typically begins within 24-48 hours of order placement.
Chargebacks are breach of contract. If you initiate a chargeback or payment dispute with your bank or credit card company instead of contacting us to resolve an issue, you agree that:
• You are in material breach of this agreement
• You authorize us to pursue collection of the full amount plus costs and attorney fees
• You remain liable for the product cost even if the chargeback is decided in your favor by your bank
How to resolve issues: Before disputing a charge with your bank or credit card company, you MUST first contact Southern Roots Supplies at southernrootssupplies@gmail.com or 205-936-6120. We will work with you in good faith to resolve legitimate issues including defective products, shipping damage, or billing errors.
Valid reasons for chargebacks: We will not contest chargebacks for: (a) unauthorized charges you did not make, (b) duplicate charges for the same order, (c) charges after documented cancellation before manufacturing began, or (d) fraud or identity theft.
Invalid reasons for chargebacks: Chargebacks for buyer's remorse, change of mind, ordered wrong size, normal variations in handmade products, or general dissatisfaction with custom-made products are breach of contract. These products are made to order specifically for you and cannot be returned or resold.
14. Governing Law and Disputes
These Terms are governed by the laws of the State of Alabama without regard to conflict of law principles. Any disputes shall be resolved in the Circuit Court of Talladega County, Alabama, and you consent to the personal jurisdiction of such court.
15. Entire Agreement
These Terms of Service, together with our Product Warranty page and the Delivery Receipt signed at time of delivery, constitute the entire agreement between you and Southern Roots Supplies regarding your purchase. These terms supersede any prior or contemporaneous communications.
16. Changes to Terms
We reserve the right to modify these Terms at any time. For non-material changes, modifications are effective when posted to our website. For material changes — including changes to pricing, warranty terms, return policy, or limitation of liability — we will provide at least 30 days advance notice by posting the updated Terms on our website with a revised Effective Date. Your continued use of our website or placement of orders after the effective date of any changes constitutes your acceptance of the modified Terms. If you do not agree to modified Terms, you must stop using our website and placing orders before the effective date of the changes.
